GeoBlazor Pro Software License Agreement

This GeoBlazor Pro Software License Agreement ("Agreement") is entered into between Moravec Labs LLC, doing business as dymaptic ("Vendor"), and the organization purchasing the software license ("Customer"). This Agreement governs the use of the software known as GeoBlazor Pro (the "Software").

During the free Beta program, items marked with an asterisk (*) are not in effect. After the Beta period, users may continue to use the Beta software but will not receive updates to the Beta software. In order to receive updates, users must purchase a subscription to the non-Beta software.

1. Definitions

  • 1.1 Vendor. "Vendor" means Moravec Labs LLC, DBA dymaptic, the creator and licensor of the Software.

  • 1.2 Customer. "Customer" means the organization or individual that is granted the license to use the Software under the terms of this Agreement. A single license is valid for an entire organization or entity subject to the terms and conditions of this Agreement.

  • 1.3 User. “User” means an individual using the Software.

  • 1.4 Software. "Software" means to the GeoBlazor Pro software product developed by Vendor, including any accompanying documentation, source code, and updates.

  • 1.5 Application. "Application" means a single application developed by the Customer. This includes but is not limited to:

    • (a) A Blazor Server application, running on a single server or a cluster, with a single base url,

    • (b) A Blazor WebAssembly application, hosted on a single server or a cluster, with a single base url,

    • (c) A MAUI application, deployed under a single name to one or many device app stores

  • 1.6 Deployment. "Deployment" means a single instance of the Software deployed on a website or application. This includes but is not limited to:

    • (a) A Blazor Server application running on a single server,

    • (b) A Blazor WebAssembly application running in a single browser,

    • (c) A MAUI application running on a single device.

2. Grant of License

  • 2.1 Vendor grants Customer a non-exclusive, non-transferable license to use the Software, subject to the terms and conditions of this Agreement.

  • 2.2 The license allows the Software to be deployed on up to five Applications. Additional subscriptions may be purchased from Vendor to increase the number of Applications.

  • 2.3 The license allows for unlimited development use where the deployment is accessed via the single base URL localhost.

  • 2.4 This Agreement does not negate the requirement for an ArcGIS API Key or ArcGIS OAuth accounts for the Customer to use the Software, as described in the Software documentation.

3. Software Updates and Support

  • * 3.1 The license includes one year of software updates, starting from the Date of Purchase. After the initial year, the Customer may continue to use the latest version of the Software released during the subscription period, even if the subscription is not renewed.

  • 3.2 Customer will be provided a License Key to activate the Software. The License Key is valid for the current Major Version of the software. * If a new Major Version is released during the subscription period, the Customer will be provided an updated key at no additional cost.

  • * 3.3 The license includes one year of support, which consists of single-day response to questions and up to three in-depth support sessions. Additional support may be purchased separately from Vendor.

  • 3.4 All support requests must be made via support@dymaptic.com, and clearly identify:

    • Customer registered email address.

    • The issue encountered.

    • Steps or code to reproduce the issue if and when possible.

4. License Validation

  • 4.1 Each Deployment of the Software will perform a one-time license check to https://licensing.dymaptic.com to validate the license. This validation is necessary for the proper functioning of the Software.

  • 4.2 If a Deployment is not set up with the correct Licensing Key and Email address in its configuration settings, the licensing server will fail to validate the Software and the Software will not function.

  • 4.3 If Customer require offline activation, please contact a Vendor via support@dymaptic.com with information about possible restrictions.

5. Source Code and Modifications

  • * 5.1 Customer will be provided access to the source code of the Software for internal use only.

  • * 5.2 Customer is permitted to modify the source code for internal use, provided that any modifications do not disable or circumvent the licensing process without explicit approval from Vendor.

  • 5.3 Customer may not resell or distribute the source code or modified versions thereof to third parties.

  • 5.4 Customer may not create a competing product to the Software based on the code provided.

6. Communication and Support

  • 6.1 Customer agrees to share a valid business email address for communication and support purposes. This email address will be registered with https://licensing.dymaptic.com.

  • 6.2 Vendor agrees to respond to support requests from Customer and authorized Users regarding configuration, use, and problems related to the Software and its documentation.

  • 6.3 Vendor will assign priority to support requests according to the following severity levels. Regular support requests will be limited to a maximum of three incidents per year. Additional support incidents may be purchased separately from Vendor.

    1. Critical: The Software is not functioning at all, or is causing a critical failure in the Customer's Application.

    2. Urgent: The Software is functioning, but is causing a loss of functionality or responsiveness in the Customer's application.

    3. Regular: All other support requests that require development or in-depth investigation beyond responding to questions.

    4. Minor: Questions about the Software or its documentation that do not require development or in-depth investigation.

7. Termination

  • 7.1 Vendor reserves the right to terminate this Agreement if Customer violates any of the terms of the Agreement.

  • 7.2 Upon termination, Customer must cease all use of the Software and destroy any copies of the Software in Customer’s possession.

8. Warranties

  • 8.1 Vendor guarantees that the Software will perform as described in its documentation while this agreement is in effect, except in cases when:

    1. Customer uses older versions of the Software than the latest provided under this agreement.

    2. Customer uses the Software with code changes done by the Customer.

    3. Customer uses the Software with other software or hardware in ways not described in the Software documentation.

  • 8.2 Vendor guarantees that the Software will be free of malicious code, such as computer worms and viruses.

  • 8.3 Vendor guarantees that the Software will be free of code that automatically limits or disables software functionality, other than the license validation described in Section 4 of this Agreement.

9. Liability

  • 9.1 Section 8 sets out the only warranties the Vendor makes regarding the Software. Vendor makes no other warranties, expressed or implied, regarding the Software, including any implied warranties of merchantability or fitness for a particular purpose.

  • 9.2 Vendor will not be liable for any damages, including consequential, special, indirect, or incidental damages, or damages for lost profits, lost revenues, or loss of use, arising out of or related to this Agreement or the Software.

  • 9.3 Vendor may refund any fees the Customer has prepaid under this agreement for time remaining in the term of this Agreement, on a proportional basis, if the Customer provides written documentation of an un-remediated legal or technical issue with the Software.

10. Updates

Vendor reserves the right to make changes to this agreement from time to time. When such changes occur, the Vendor will provide a minimum of thirty (30) days notice via the Customer email(s) registered for communication.

11. Entire Agreement

  • 11.1 This Agreement constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior or contemporaneous agreements, understandings, and communications, whether written or oral.

  • 11.2 Customer or Customer organization may have separate agreements with Vendor. Such agreements are separate from this agreement and in no way alter or modify this agreement unless explicitly including modifiers to the GeoBlazor Pro Software Package as is referenced here.

By purchasing, downloading, installing, or using the GeoBlazor Pro Software, Customer acknowledges that they have read and understood this Agreement and agree to be bound by its terms.
