Personal and Internal Commercial Use License

This software, including its compiled binaries, libraries, executables, documentation, configuration files, and accompanying materials, is licensed under the following terms.

This is a custom software license. It is not an open-source license.

1. Definitions

Software

“Software” means the compiled binary form of this software, including executables, libraries, packages, scripts, documentation, configuration files, and any other files provided by the copyright owner.

Source Code

“Source Code” means the human-readable source files, project files, build files, scripts, and other materials used to create, modify, compile, or build the Software.

Internal Use

“Internal Use” means use by an individual, company, organization, nonprofit, government agency, or other entity solely for its own internal operations.

Internal Use includes use by employees, contractors, or authorized agents of that entity, provided the Software is not made available to third parties as part of a product, service, hosted offering, customer-facing system, paid deliverable, or revenue-generating external use.

External Use

“External Use” means any use of the Software in connection with a product, service, hosted offering, SaaS platform, customer-facing system, commercial deliverable, resale offering, paid consulting service, managed service, or other offering made available to third parties.

2. Permitted Use

You may use the compiled binary form of the Software for the following purposes:

Personal, non-commercial use.
Internal business or organizational use.
Internal evaluation, testing, and development.
Internal automation, tooling, reporting, processing, or operational support.

A company or organization may use the compiled binary form of the Software internally, even if the company or organization is a for-profit entity, provided that the Software is not used for External Use as defined in this license.

3. Restricted Commercial Use

You may not, without prior written permission from the copyright owner:

Sell, resell, sublicense, rent, lease, distribute, or otherwise provide the Software to third parties.
Include the Software in any commercial product, application, appliance, firmware, package, library, platform, or service.
Use the Software as part of any SaaS platform, hosted service, web service, API service, cloud service, subscription service, or customer-facing system.
Use the Software in connection with any product or service that is sold, licensed, subscribed to, monetized, or otherwise provided for commercial advantage.
Use the Software to provide paid consulting, managed services, processing services, hosting services, or other services to third parties where the Software materially contributes to the service being provided.
Modify, repackage, wrap, embed, bundle, or integrate the Software into another product or service intended for resale, distribution, or external commercial use.
Use the Software in any manner where third parties receive direct or indirect access to the Software or its functionality as part of a paid or commercial offering.

4. Source Code Access

This Software is distributed primarily in binary form. Access to the Source Code is not guaranteed and is not included as a right under this license.

Source Code may be made available only by request and at the sole discretion of the copyright owner. The copyright owner may approve, deny, limit, revoke, or condition Source Code access for any reason.

If Source Code access is granted, such access is provided only for the specific purpose and scope approved in writing by the copyright owner.

Unless separately authorized in writing, Source Code access does not grant permission to:

Copy the Source Code.
Modify the Source Code.
Distribute the Source Code.
Sublicense the Source Code.
Publish the Source Code.
Sell or resell the Source Code.
Create derivative works from the Source Code.
Use the Source Code to build a competing product or service.

5. Distribution

You may not redistribute the Software, binaries, Source Code, modified versions, or derivative works without prior written permission from the copyright owner.

This restriction applies whether distribution is free, paid, public, private, bundled, embedded, or provided as part of another product or service.

6. Commercial Licensing

Any use outside the permissions granted by this license requires a separate written commercial license from the copyright owner.

Commercial licensing is required for, but is not limited to:

Resale.
Redistribution.
SaaS or hosted use.
Customer-facing use.
Use in a paid product or service.
Use in a deliverable provided to a customer.
Use by a third party as part of a commercial offering.
Any use that provides direct or indirect commercial benefit beyond Internal Use.

7. Ownership

The copyright owner retains all right, title, and interest in and to the Software and Source Code.

No ownership rights are transferred under this license.

Except for the limited rights expressly granted in this license, all rights are reserved by the copyright owner.

8. No Trademark Rights

This license does not grant permission to use the name, trademarks, service marks, logos, branding, or trade names of the copyright owner, except as required for reasonable identification of the Software.

9. No Warranty

The Software is provided “as is,” without warranty of any kind, express or implied.

The copyright owner makes no warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, security, compatibility, or availability.

Use of the Software is at your own risk.

10. Limitation of Liability

In no event shall the copyright owner be liable for any claim, damages, losses, costs, expenses, or other liability arising from, out of, or in connection with the Software, Source Code, or use of either.

This includes, without limitation, direct, indirect, incidental, special, consequential, exemplary, or punitive damages; loss of profits; loss of revenue; loss of data; business interruption; or system failure.

11. Termination

Any violation of this license automatically terminates your rights to use the Software.

Upon termination, you must immediately stop using the Software and delete all copies of the Software, Source Code, and related materials in your possession or control.

Sections concerning ownership, restricted use, source code access, warranty disclaimer, limitation of liability, and termination shall survive termination.

12. No Implied Rights

No rights are granted except those expressly stated in this license.

Failure by the copyright owner to enforce any provision of this license does not constitute a waiver of the right to enforce that provision or any other provision in the future.

Requests for permission, commercial licensing, Source Code access, redistribution, resale, hosted use, SaaS use, customer-facing use, or other uses not expressly permitted by this license should be directed to:
