KimTools.WinForms End User License Agreement (EULA)

This End User License Agreement ("Agreement") is a legal agreement between you (either an individual or a single entity, "Licensee") and KimToo.net ("Licensor") for the software product KimTools.WinForms, including any associated media, printed materials, and electronic documentation (the "Software").

By installing, copying, or otherwise using the Software, Licensee agrees to be bound by the terms of this Agreement. If Licensee does not agree to the terms of this Agreement, do not install or use the Software.

1. Grant of License

1.1 Utilities (No License Required)

The utility classes Kt-Color, Kt-Brush, and Kt-Icons are provided free of charge to all users, with or without a license key, under the terms of this Agreement.

1.2 Free Tier

Upon obtaining a valid Free license key, Licensor grants Licensee a non-exclusive, non-transferable, royalty-free license to use the Free Controls (as listed in the Software's accompanying documentation) in an unlimited number of applications, with no limit on end users, deployments, or distribution of compiled applications built using the Software.

1.3 Plus+ Tier

Upon obtaining a valid Plus+ license key, Licensor grants Licensee the rights described in Section 1.2, extended to include the Plus+ Controls (as listed in the Software's accompanying documentation), under the same royalty-free, unlimited-use terms.

1.4 Scope of Use

This license permits Licensee to:

• Use the Software to develop, compile, and distribute Licensee's own applications, in unlimited quantity, to any number of end users, without payment of royalties.
• Modify Licensee's own source code that calls into the Software.
• Install and use the Software on any number of development machines belonging to or used by Licensee.

This license does not permit Licensee to:

• Resell, sublicense, or otherwise distribute the Software itself, or any portion of its source code, as a standalone product or as part of a competing component library or SDK.
• Reverse engineer, decompile, or disassemble the Software, except to the extent such restriction is expressly prohibited by applicable law.
• Remove or alter any copyright, trademark, or proprietary notices contained in the Software.

2. License Validation

The Software verifies license validity by connecting to Licensor's licensing servers via Licensee's KimToo.net account. Licensee acknowledges that an internet connection is required at first launch and periodically thereafter to confirm license status. Licensor is not responsible for license validation failures caused by Licensee's network configuration, firewall settings, or loss of internet connectivity.

3. Ownership

The Software is licensed, not sold. Licensor retains all right, title, and interest in and to the Software, including all intellectual property rights therein. This Agreement does not grant Licensee any rights to trademarks, service marks, or trade names of Licensor.

4. Term and Termination

This Agreement is effective until terminated. Licensor may terminate this Agreement immediately if Licensee fails to comply with any term herein. Upon termination, Licensee must cease all use of the Software and destroy all copies in Licensee's possession. Applications already compiled and distributed by Licensee prior to termination, using a license that was valid at the time of compilation, may continue to be used and distributed by Licensee's end users.

5. Disclaimer of Warranty

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. LICENSOR DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE OR THAT ITS USE WILL BE UNINTERRUPTED.

6. Limitation of Liability

IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUE, ARISING OUT OF OR RELATED TO LICENSEE'S USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. LICENSOR'S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT, IF ANY, PAID BY LICENSEE FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

7. Third-Party Components

The Software incorporates certain third-party open-source components, each subject to its own license terms. A list of such components and their respective licenses is available at [LINK TO THIRD-PARTY NOTICES]. Nothing in this Agreement limits Licensee's rights under those third-party licenses with respect to the components they cover.

8. Updates

Licensor may, at its discretion, provide updates, patches, or new versions of the Software. Use of such updates is governed by this Agreement unless accompanied by a separate license agreement.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [JURISDICTION], without regard to its conflict of laws principles.

10. Entire Agreement

This Agreement constitutes the entire agreement between Licensee and Licensor relating to the Software and supersedes all prior or contemporaneous understandings regarding such subject matter.
