Proprietary Software License for Ikon AI SDK

Ikon AI ("Licensor") grants to entities that have entered into a valid partnership agreement with the Licensor ("Licensee"), a non-exclusive, non-transferable, limited license to use the Ikon AI SDK ("SDK") solely for the purposes of developing and testing applications. This license is conditional upon the Licensee's continued compliance with the terms of the partnership agreement.

Restrictions:
No Redistribution: The Licensee shall not distribute, sell, lease, rent, lend, or sublicense the SDK to any third party.
Non-Partner Use Prohibition: Use of the SDK by non-partners or entities without a valid partnership agreement with the Licensor is strictly prohibited and constitutes a breach of this license.

Limited Use:
The SDK shall be used only in accordance with the terms set forth herein and for no other purpose.

Intellectual Property:
All intellectual property rights in the SDK are owned by the Licensor. The Licensee does not acquire any rights to the SDK except as expressly set forth in this License.

Termination:
This License may be terminated by the Licensor at any time if the Licensee violates any term of this Agreement or the partnership agreement. Upon termination, the Licensee must cease all use of the SDK and destroy all copies.

No Warranty:
The SDK is provided "as is" without warranty of any kind, express or implied.

Limitation of Liability:
In no event will the Licensor be liable for any damages arising out of the use or inability to use the SDK.

General:
This License constitutes the entire agreement between the parties with respect to the use of the SDK licensed hereunder and supersedes all prior or contemporaneous understandings regarding such subject matter.
